# GIRIBALA CREATIVE VENTURES PRIVATE LIMITED ## Terms & Conditions **Applicable to Chemicals4Construction, CC Network, CC Shoppe, CC Waterproofing and Other Company-Operated Digital Platforms** **Effective Date: 12 October 2026** ### 1. Introduction Welcome to Giribala Creative Ventures Private Limited (hereinafter referred to as "GCVPL", "the Company", "we", "us" or "our"). GCVPL owns, operates or manages various online marketplaces, business networking platforms, mobile applications, digital directories and related services, including: - Chemicals4Construction – www.chemicals4construction.com - CC Network – Construction Chemicals & Waterproofing Business Network - CC Shoppe – Construction Chemicals & Waterproofing B2B Marketplace - CC Waterproofing – Waterproofing Applicator & Service Booking Platform - Other websites, mobile applications and digital services operated by GCVPL. These are collectively referred to as the "Platforms". By accessing, registering with or using any of these Platforms, users agree to comply with these Terms & Conditions and all applicable laws. ### 2. Eligibility and User Registration Users must provide accurate, complete and updated information during registration. The Platforms may connect: - Manufacturers and brands - Distributors, dealers and stockists - Suppliers and buyers - Waterproofing applicators and contractors - Architects, engineers and consultants - Construction companies and project owners - Professionals and service providers Unless expressly stated otherwise, GCVPL acts as a technology platform or marketplace facilitator and is not automatically the manufacturer, supplier, contractor or service provider for every transaction. Where GCVPL acts directly as a seller or service provider, its applicable contractual and legal responsibilities will continue to apply. ### 4. Business Listings and Public Information Users may publish business information, company profiles, product catalogues, service details, photographs, prices, trade enquiries, project portfolios and other relevant content. By submitting content for publication, users grant GCVPL a non-exclusive, worldwide, royalty-free licence to host, display, reproduce and distribute that content for operating and promoting the Platforms, for as long as reasonably necessary for those purposes. Users confirm that they have the rights and permissions necessary to publish their submitted content. Information designated as public may be accessible to website visitors, search engines and other registered users. Users should not publish confidential or sensitive personal information in public listings. ### 5. Product Listings and Marketplace Transactions Manufacturers and suppliers are responsible for providing accurate information about their products, including: - Product name and description - Technical specifications and application instructions - Packaging and available quantities - Pricing, taxes and delivery conditions - Batch details and shelf life, where applicable - Safety instructions and relevant documentation - Warranty and return conditions Buyers should review the relevant specifications and commercial terms before placing orders. Waterproofing Applicators and Service Providers Applicators, contractors and other service providers registered on CC Waterproofing are responsible for: - Providing accurate business and professional information - Maintaining necessary licences and registrations, where applicable - Following appropriate technical and safety procedures - Providing genuine quotations and service commitments - Using suitable products and application methods - Complying with agreed project specifications - Meeting applicable contractual warranty obligations Verification or approval by GCVPL does not constitute a guarantee of workmanship, project completion, qualifications or performance. GCVPL may facilitate communication, booking, quotation comparison, payment coordination and complaint resolution. The respective service provider remains responsible for performing the contracted work, except where GCVPL has expressly undertaken that responsibility. ### 7. Enquiries, Quotations and Business Opportunities The Platforms may enable users to submit enquiries, request quotations, negotiate commercial terms and communicate with potential business partners. GCVPL does not guarantee: - A minimum number of business enquiries - Confirmed sales or projects - Customer conversions - Particular profit or revenue - Successful negotiations - Payment by another user Users are responsible for evaluating commercial opportunities and conducting appropriate due diligence. ### 8. Pricing, Payments and Taxes Prices displayed on the Platforms may be inclusive or exclusive of GST, transportation, handling and other applicable charges, as specified at checkout or in the relevant quotation. Users are responsible for applicable taxes, invoices and statutory compliance relating to their transactions. Payments may be processed through authorized payment gateways, banking channels or other approved payment arrangements. Refunds, cancellations and returns will be governed by the applicable Platform policy and mandatory legal requirements. ### 9. Order Cancellation, Returns and Refunds For transactions conducted through CC Shoppe, the applicable Refund, Return & Cancellation Policy forms part of these Terms & Conditions. Eligibility for cancellation, replacement, return or refund may depend on product condition, order status, supplier arrangements and applicable law. Nothing in these Terms limits rights or remedies that cannot legally be excluded. ### 10. User Conduct and Prohibited Activities Users must not: - Publish false or misleading information - Impersonate another person or business - Upload counterfeit or unlawfully marketed products - Engage in fraudulent transactions - Misuse contact details obtained through the Platforms - Send unauthorized spam or promotional messages - Upload malicious software or attempt unauthorized access - Scrape or harvest personal information without authorization - Infringe intellectual property rights - Manipulate ratings, reviews, quotations or business opportunities GCVPL may remove prohibited content and take appropriate action against accounts involved in violations. ### 11. Users retain ownership of their original submitted content, subject to the licences granted under these Terms. ### 12. Platform Availability and Maintenance GCVPL aims to maintain reliable digital services but does not guarantee uninterrupted or error-free availability. The Company may perform maintenance, introduce new features or temporarily restrict access where reasonably necessary. Users will be informed of material service changes where appropriate and legally required. ### 17. Limitation of Liability To the extent permitted by applicable law, GCVPL will not be responsible for indirect or consequential commercial losses arising solely from independent transactions between third-party users. Nothing in these Terms excludes liability for fraud, wilful misconduct, the Company's own legally enforceable obligations or any liability that cannot be excluded under applicable law. ### 18. Account Suspension and Termination GCVPL may suspend or terminate access for material violations of these Terms, fraudulent activities, security threats or unlawful conduct. Where appropriate, users may be given notice and an opportunity to address the issue. Termination does not automatically cancel outstanding payment obligations or lawful transaction commitments. ### 19. Governing Law and Jurisdiction These Terms & Conditions are governed by the laws of India. Subject to mandatory statutory rights and jurisdictional requirements, disputes shall be subject to the jurisdiction of the competent courts at Ahmedabad, Gujarat, India. ### 21. Amendments to Terms GCVPL may update these Terms & Conditions to reflect changes in its business operations, technology, services or legal obligations. Updated Terms will be published on the relevant Platforms with an effective date. Where legally required, users will be notified of material changes and additional consent will be obtained. ### 22.
